• Payment: Fees are non-refundable once processing begins.
• Content: Content you submit is not confidential. Do not submit sensitive information.
• AI Outputs: AI-generated recommendations are for informational purposes only. You must verify all information independently.
• Disclaimers: Services are provided "AS IS" and "AS AVAILABLE" without warranties.
• Liability: Our liability is limited to fees paid in the prior month.
• Governing Law: Wisconsin law applies; disputes resolved in Milwaukee County.

• Upload or transmit viruses, malware, or other harmful code
• Circumvent, disable, or interfere with security features of the Services

We do not warrant that the Services will meet your requirements, that the Services will be error-free, secure, or virus-free, or that any defects will be corrected. Any material downloaded or obtained through the Services is done at your own risk.

To the fullest extent permitted by applicable law, in no event will Cheerfully, its affiliates, officers, directors, employees, agents, licensors, or service providers be liable for any:

• Indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, use, goodwill, or other intangible losses
• Damages arising from your use or inability to use the Services; any conduct or content of any third party on the Services; any content obtained from the Services; or unauthorized access, use, or alteration of your content
• Issues with venues including availability, quality, pricing, safety, or any other aspect of venues recommended through the Services

These limitations apply whether the alleged liability is based on warranty, contract, tort, negligence, strict liability, or any other basis, even if we have been advised of the possibility of such damage.

You agree to defend, indemnify, and hold harmless Cheerfully, its affiliates, and their respective officers, directors, employees, agents, licensors, and service providers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:

• Your violation of these Terms
• Your use of the Services
• Your Content or Submitted Content
• Your violation of any rights of another, including intellectual property rights
• Your interactions with any venue or third party arising from the Services
• Any claim that your Content caused damage to a third party

We reserve the right, at your expense, to assume the exclusive defense and control of any matter for which you are required to indemnify us, and you agree to cooperate with our defense of such claims.

These Terms and your use of the Services are governed by and construed in accordance with the laws of the State of Wisconsin, United States, without regard to its conflict of law provisions.

Any legal action or proceeding arising out of or relating to these Terms or the Services shall be brought exclusively in the state or federal courts located in Milwaukee County, Wisconsin, and you consent to the personal jurisdiction of such courts.

You agree to waive any objections to the exercise of jurisdiction over you by such courts and to venue in such courts.

We reserve the right to modify these Terms at any time. If we make material changes, we will notify you by posting the updated Terms on our website and updating the "Last Updated" date at the top of these Terms. We may also notify you through the Services or by email.

Your continued use of the Services after any changes to the Terms constitutes your acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Services.

We encourage you to review these Terms periodically to stay informed of any updates.

We will not be liable for any failure or delay in performing our obligations under these Terms where such failure or delay results from causes beyond our reasonable control, including but not limited to: acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, strikes, labor disputes, pandemics, epidemics, shortages of transportation, facilities, fuel, energy, labor, or materials, failure of telecommunications or information systems, or other circumstances beyond our reasonable control.

Severability: If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions will continue in full force and effect.

No Waiver: Our failure to enforce any right or provision of these Terms will not be considered a waiver of such right or provision. Any waiver must be in writing and signed by an authorized representative of Cheerfully.

Assignment: You may not assign or transfer these Terms, by operation of law or otherwise, without our prior written consent. Any attempt to assign or transfer without consent will be null and void. We may assign or transfer these Terms, in whole or in part, without restriction.

Entire Agreement: These Terms, together with the Privacy Policy and any other agreements expressly incorporated by reference, constitute the entire agreement between you and Cheerfully regarding the Services and supersede all prior and contemporaneous agreements, proposals, or representations, written or oral, concerning the subject matter hereof.
